Microsoft 365 Licensing &
CSP Optimization for Enterprises
Stop paying for entitlements you don't use. Stop missing the ones you need. ICS audits your Microsoft licensing estate, models E3 vs E5 vs Copilot per persona, and runs ongoing quarterly governance so every SKU tracks a real user and a real business outcome. Microsoft AI Cloud Partner. CSP Indirect Reseller.
One-Time Audit or Ongoing Governance
Most clients start with a fixed-fee licensing audit. Organizations that want ICS to own procurement long-term graduate to CSP of record with quarterly governance.
M365 Licensing Assessment
Fixed-fee audit of your current Microsoft licensing estate — E3, E5, Business Premium, F-SKUs, Copilot, and third-party M365 add-ons. Utilization analysis, overlap and gap detection, renewal timing, and a prioritized savings roadmap with written recommendations.
CSP of Record + Ongoing License Governance
ICS becomes your Microsoft CSP of record and owns licensing end-to-end — procurement, true-ups, renewals, quarterly utilization reviews, and Microsoft price-protection guidance. Paired with managed operations so licensing decisions reflect actual tenant usage.
The Full Microsoft 365 Licensing Stack
From SKU mix to CSP billing mechanics to quarterly audit evidence — every layer of Microsoft licensing, owned and reported on.
SKU Mix Analysis (E3 / E5 / Business Premium)
Line-item analysis of E3 vs E5 vs Business Premium vs F-SKUs for every user persona. We model the break-even on security add-ons (Defender, Purview, Entra P2) versus E5 consolidation — so you buy exactly the entitlements you'll use.
Copilot Licensing Fit & Pilot Sizing
Who actually needs Microsoft 365 Copilot? We run a data-driven persona fit against usage signals, estimate pilot size, and build a rolling license ramp — so Copilot spend matches adoption, not wishful thinking.
Security & Compliance Entitlement Mapping
Map your SOC 2, HIPAA, GLBA, or PCI DSS controls to Microsoft entitlements — Defender for Office 365, Defender for Endpoint, Purview, Sentinel, Entra ID P1/P2 — so you know exactly which SKU covers each required control.
True-Ups, Renewals & Price Protection
Microsoft's NCE billing rules, term options (monthly, annual, 3-year), and mid-term adds have real cost implications. We manage renewal cadence, price-protection strategy, and true-ups so you're never over-committed or caught short.
License Utilization Audits (Quarterly)
Ongoing quarterly audits — unassigned licenses, stale accounts, over-provisioned personas, duplicate add-ons, and shelfware — reconciled to headcount and role. Savings identified in almost every first-year engagement.
CSP Migration & Dual-CSP Scenarios
Migrating from direct, Enterprise Agreement, or a legacy CSP? We handle tenant-level CSP transitions, partner-of-record changes, and scoped dual-CSP arrangements where licensing and managed services sit with different partners.
F-SKU & Frontline Worker Licensing
F1/F3 frontline licensing for hospitality, healthcare, retail, and field operations. Shared-device policy, kiosk provisioning, and Teams Walkie-Talkie / Shifts configuration so frontline personas get what they need without over-buying knowledge-worker SKUs.
Audit Evidence & License Governance
Written license inventory, assignment policy, deprovisioning runbook, and quarterly evidence packaging — ready for SOC 2, cyber insurance renewals, M&A due diligence, or Microsoft license audits.
From Estate Audit to Quarterly Governance
Predictable 4–6 week path from first conversation to executed licensing plan. Every stage has a written deliverable so you know what you're paying for.
License Estate Audit
Fixed-fee audit — current SKU mix, assignment data, utilization signals, overlap with third-party tools, renewal calendar, and compliance entitlement mapping. Written audit report delivered at end of week 2.
Optimization Recommendations
SKU-level recommendations with modeled savings, Copilot pilot sizing if applicable, security entitlement rationalization, and a renewal / true-up plan. Reviewed together with your finance and IT leadership.
Execute (Transition or Cleanup)
Execute the plan — CSP transition if applicable, SKU swaps, unassignment of shelfware, Copilot pilot enrollment, and cleanup of duplicated add-ons. Coordinated against renewal dates so no price protection is lost.
Quarterly License Governance
Quarterly utilization audits, renewal preparation, true-up recommendations, Copilot ramp reviews, and audit-evidence refresh. Paired with ongoing M365 management for tenants that want operations and licensing under one roof.
Fixed-Fee Audits. Monthly Governance. Savings First.
License estate audits are fixed-fee with a written deliverable. Ongoing license governance runs as a small monthly retainer — typically a fraction of the annualized savings identified in the first audit. Every proposal is written, reviewed with you, and signed before work starts.

What's the difference between E3, E5, and Business Premium?+
Business Premium is the SMB SKU — it caps at 300 seats and bundles M365 apps, Intune, Defender for Business, Entra ID P1, and Azure Information Protection P1. E3 is the enterprise baseline — no seat cap, adds Exchange enterprise features, SharePoint/OneDrive enterprise, and compliance essentials. E5 adds the full Microsoft security stack (Defender for Endpoint P2, Defender for Office P2, Defender for Cloud Apps), Entra ID P2, Purview, Power BI Pro, and advanced voice. The right answer depends on your persona mix, security obligations, and whether you already own adjacent tools — we build that analysis in the licensing assessment.
Should we move everyone to E5, or add security and compliance SKUs to E3?+
Both are defensible and we model them side-by-side. E5 consolidation wins when you'd otherwise buy multiple add-ons (Defender for Endpoint P2, Defender for Office P2, Entra P2, Purview). The à-la-carte path wins when only a subset of users need advanced entitlements, or when you already own a third-party EDR/SIEM you won't retire. Most mid-market engagements land on a mixed estate — E5 for executives and privileged roles, E3 + targeted add-ons for everyone else.
Do you help us decide whether Microsoft 365 Copilot is worth it?+
Yes. Copilot is a $30/user/month add-on that only pays back if adoption is real. We model Copilot fit per persona against actual usage signals (Graph activity, document volume, meeting patterns), size the right pilot cohort, and build a licensing ramp that follows demonstrated adoption — not aspiration. ICS is a Copilot Ready Partner and runs the readiness remediation (SharePoint permissions, sensitivity labels) that has to happen before Copilot is safe to deploy.
Can ICS become our Microsoft CSP of record?+
Yes. ICS is a Microsoft Indirect Reseller CSP. We can take CSP of record for a net-new tenant or transition an existing tenant from another CSP, direct billing, or Enterprise Agreement — no transition fees. We often partner alongside other CSPs that handle licensing only, providing the administration, security, and compliance depth they don't.
How do you handle Microsoft NCE term commitments and true-ups?+
Microsoft's New Commerce Experience offers monthly, annual, and 3-year terms with different cancellation windows and price protection. We build a term-mix strategy — annual or 3-year commitments for stable headcount to lock price protection, monthly flex for volatile roles, and a true-up calendar so mid-term adds are procured without giving up price protection on the base estate.
How much do licensing engagements cost?+
License estate audits are fixed-fee based on tenant size and complexity. Ongoing CSP and license governance runs as a small monthly retainer — typically a fraction of the annualized savings identified in the first audit. Every proposal is written with a defined deliverable before work starts. Contact us for a written scope.
Do you work with organizations outside Dallas?+
Yes. ICS serves clients across North America and 5+ countries from our Dallas headquarters. Licensing work is equally effective remote. For Dallas-Fort Worth clients specifically, we also offer on-site licensing workshops — see our Dallas M365 licensing page.
What if we already have a relationship with another Microsoft CSP?+
We work with existing CSPs constantly. If your current CSP handles licensing well but can't go deep on administration, security, or compliance, we can provide the services layer alongside them — no disruption to your licensing relationship. If you decide to consolidate, CSP transition takes 1–2 billing cycles with no gap in service.
Ready to Stop Guessing on Microsoft Licensing?
Start with a fixed-fee estate audit. Two to three weeks, written deliverable, SKU-level recommendations with modeled savings. Then decide whether one-time optimization or ongoing CSP governance fits best.
